End User License Agreement (EULA)

1. Agreement to Terms

This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and ShotWot Labs Private Limited ("ShotWot," "Company," "we," "us," or "our"), a company registered at Godrej 24, Hinjewadi Phase 1, Pune – 411037, Maharashtra, India.

This Agreement governs your use of the ShotWot mobile application available on Android and iOS, the website at www.shotwot.com, and all associated features and services (collectively, the "App" or "Platform").

By downloading, installing, accessing, or using the App in any manner, you confirm that you have read, understood, and agree to be bound by this Agreement in its entirety. If you do not agree to any part of this Agreement, you must immediately stop using the App and uninstall it from your device.

This Agreement is to be read together with the ShotWot Privacy Policy and Terms of Service, both of which are incorporated herein by reference.

2. Definitions

3. Description of the Platform

ShotWot is a media-tech platform that connects Contributors (photographers, videographers, and creators) with a marketplace for authentic, regional, and culturally rich stock media. Through the App, users can:

• Browse and apply for shoot Briefs

• Sign task agreements and produce media content as per Brief requirements

• Submit content for review and earn Rewards upon successful approval

• Accumulate Rewards in the ShotWot Wallet and withdraw them as cash or convert them to vouchers or gift cards

• Purchase and license stock media assets through the ShotWot Shop

• Subscribe to the ProShooter Plan for access to premium features

4. Eligibility

To use the App, you must:

• Be at least 18 years of age

• Be capable of forming a legally binding contract under applicable Indian law

• Not be barred from using the App under any applicable law or regulation

• Not have had a prior account terminated by ShotWot for violations of this Agreement

By using the App, you represent and warrant that you meet all of the above eligibility requirements. If ShotWot discovers that a user does not meet these requirements, it reserves the right to immediately suspend or terminate the account.

5. Account Registration and KYC Verification

5.1 Account Creation

To access the full features of the App, you must create a registered account. You agree to:

• Provide accurate, current, and complete information during registration

• Maintain and promptly update your account information to keep it accurate

• Use the App only through your own registered account

5.2 KYC and Identity Verification

To unlock earning and withdrawal features, Contributors must complete the KYC (Know Your Customer) identity verification process, which includes:

• Submission of a valid government-issued photo identity document

• Submission of tax information (PAN card or equivalent)

• Submission of valid bank account or UPI payout details

ShotWot reserves the right to reject or suspend accounts where KYC information is found to be incomplete, inaccurate, or fraudulent.

5.3 Account Security and Responsibility

You are solely responsible for:

• Maintaining the confidentiality of your login credentials

• All activities conducted through your account

• Notifying ShotWot immediately at hello@shotwot.com if you become aware of any unauthorised access to your account

ShotWot will not be liable for any loss or damage arising from unauthorised use of your account due to your failure to maintain the security of your credentials.

6. Licence to Use the App

Subject to your compliance with this Agreement, ShotWot grants you a limited, non-exclusive, non-transferable, revocable licence to download and use the App on your personal device solely for your personal or professional use in accordance with this Agreement.

This licence does not permit you to:

• Copy, modify, or create derivative works of the App or any part of it

• Reverse engineer, decompile, or disassemble any part of the App

• Rent, lease, lend, sell, sublicense, or transfer the App or your rights under this licence to any third party

• Remove or alter any proprietary notices, labels, or marks on the App

• Use the App in any manner that could damage, disable, overburden, or impair it

This licence is automatically revoked upon termination of this Agreement for any reason.

7. Intellectual Property Rights

7.1 ShotWot Ownership

The App, including all of its contents, features, functionality, software, text, graphics, illustrations, audio, video, user interface design, and the selection and arrangement of these elements, is owned by ShotWot Labs Private Limited, its licensors, or other authorised providers. All such content is protected under Indian and international copyright, trademark, patent, trade secret, and other applicable intellectual property laws.

7.2 Restrictions on Use

You must not, without prior written permission from ShotWot:

• Reproduce, distribute, publicly display, or publicly perform any part of the App

• Modify or create derivative works based on the App or its content

• Download, store, or transmit App content beyond what is incidental to normal use on your personal devices

• Use any App content separately from its accompanying context (for example, extracting images from the interface)

• Remove or alter any copyright, trademark, or other proprietary rights notices from any content accessed through the App

7.3 Trademarks

The name "ShotWot," the ShotWot logo, and all associated names, marks, and slogans are trademarks of ShotWot Labs Private Limited. You may not use any ShotWot trademark without our prior written consent.

8. User Content and Contributor Content Ownership

8.1 You Retain Ownership

Users retain full ownership and copyright in the original media content they create and submit through the App. ShotWot does not claim ownership over User Content.

8.2 Licence Grant to ShotWot

By submitting User Content to the App, you grant ShotWot Labs Private Limited a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable, and sublicensable licence to:

• Host, store, reproduce, and distribute your content on the Platform

• Display and present your content to potential Buyers in search results and listings

• Use your content in promotional materials and marketing for the Platform with appropriate attribution

• Sublicense your content to Buyers under ShotWot's standard licensing terms

This licence exists solely to enable ShotWot to operate the Platform and make your content available for licensing. It does not transfer copyright ownership of your content to ShotWot.

8.3 Content Warranties

By submitting User Content to the App, you represent and warrant that:

• You are the original creator and owner of the content, or have all necessary rights and permissions to submit it

• The content does not infringe the copyright, trademark, privacy, or other rights of any third party

• You have obtained valid model releases for all identifiable individuals depicted in the content

• You have obtained valid property releases for all recognisable private property depicted where required

• The content does not contain any illegal, harmful, defamatory, or objectionable material

• The content complies with all applicable laws

8.4 Content Moderation

ShotWot reserves the right to review, approve, reject, delist, or remove any User Content at its sole discretion without prior notice, including content that violates this Agreement, our Content Guidelines, or applicable law.

9. Reward System and Wallet

9.1 Earning Rewards

Contributors earn Rewards by completing shooting tasks as specified in Briefs published on the App. Rewards are credited only upon successful review and approval of submitted content by the ShotWot team.

9.2 Wallet

Earned Rewards accumulate in the Contributor's in-app Wallet. The Wallet balance reflects approved earnings net of applicable deductions or taxes.

9.3 Withdrawals and Conversions

Contributors may withdraw Wallet balances as cash to their registered bank account or UPI ID, or convert them to vouchers or gift cards, subject to:

• Minimum withdrawal thresholds published on the Platform

• Applicable conversion rates for voucher or gift card options

• Completion of KYC verification

• Compliance with applicable tax deduction requirements under Indian law

9.4 Reward Withholding

ShotWot reserves the right to withhold, suspend, or forfeit Rewards in cases of suspected fraud, policy violations, submission of content that violates third-party rights, or breach of this Agreement. Users will be notified of any such action and may appeal by contacting hello@shotwot.com.

10. ProShooter Plan

10.1 Subscription

Users may subscribe to the ProShooter Plan, which grants access to additional features and benefits on the App as listed on the Platform at the time of subscription.

10.2 Fees

Subscription fees for the ProShooter Plan are charged as published on the Platform at the time of purchase. ShotWot reserves the right to change subscription fees with advance notice to subscribers via the Platform or email.

10.3 Refund for Unintended Purchase

If a ProShooter subscription was activated unintentionally, you may request a refund by emailing hello@shotwot.com within 48 hours of the deduction from your bank account. ShotWot is committed to processing approved refunds within 45 days of the request being raised. Requests submitted after 48 hours will not be eligible.

11. Refund Policy

Media Asset Purchases:
All purchases of media assets through the ShotWot Shop are final and non-refundable, except as required by applicable law.

ProShooter Subscription:
As described in Section 10.3 above, refund requests for unintended ProShooter subscriptions must be submitted within 48 hours of purchase.

Rewards and Wallet Balances:
Wallet balances and Rewards are non-transferable and have no cash value outside the ShotWot platform withdrawal process. ShotWot is not responsible for loss of Wallet balance due to account termination resulting from a breach of this Agreement.

12. Prohibited Uses

In addition to the restrictions set out elsewhere in this Agreement, you must not use the App:

• In any way that violates any applicable local, national, or international law or regulation

• To exploit, harm, or attempt to exploit or harm any person, including minors

• To upload, submit, or transmit content that is illegal, defamatory, obscene, hateful, or objectionable

• To upload content that infringes the intellectual property or privacy rights of any third party

• To transmit any unsolicited advertising, promotional material, spam, or chain messages

• To impersonate any person or entity or misrepresent your identity or affiliation

• To interfere with or disrupt the integrity, security, or performance of the App

• To use any bot, scraper, crawler, or automated tool to access or extract data from the App

• To attempt to gain unauthorised access to any part of the App, its servers, or any system connected to it

• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the App

13. Zero Tolerance for Objectionable Content and Abusive Behaviour

ShotWot maintains a strict zero-tolerance policy for objectionable content and abusive behaviour on the App. Users who upload objectionable content or engage in abusive behaviour toward other users, Contributors, Buyers, or ShotWot personnel will have their accounts immediately suspended or permanently terminated without prior notice.

Users may report objectionable content or abusive behaviour by contacting us at hello@shotwot.com. All reports will be reviewed and acted upon promptly.

14. Privacy and Data Protection

ShotWot is committed to protecting your personal data. We collect, use, and process your information in accordance with our Privacy Policy, which is available at www.shotwot.com/privacy and is incorporated into this Agreement by reference.

By using the App, you consent to the collection, use, and processing of your personal information as described in the Privacy Policy, including the use of your device identifiers, location data (where permitted), and usage data to operate and improve the App.

15. Third-Party Services and Links

The App may integrate with or contain links to third-party services, platforms, or websites, including social login providers (Google, Apple) and payment processors. These third-party services are governed by their own terms and privacy policies, which ShotWot encourages you to review.

ShotWot has no control over third-party services and accepts no liability for your use of them or for any content, products, or services available through them. All such integrations and links are provided for convenience only and do not constitute an endorsement by ShotWot.

16. Compliance with Laws

You agree to comply with all applicable local, state, national, and international laws and regulations in connection with your use of the App, including but not limited to laws relating to intellectual property, data protection, privacy, tax, and the transmission of technical or personal data.

17. Indemnification

You agree to defend, indemnify, and hold harmless ShotWot Labs Private Limited, its affiliates, licensors, and service providers, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or in connection with:

• Your use or misuse of the App

• Any User Content you submit, upload, or transmit through the App

• Your breach of any provision of this Agreement

• Your violation of any applicable law or regulation

• Your violation of the rights of any third party, including intellectual property rights or privacy rights

18. Disclaimer of Warranties

The App and all content and services available through it are provided on an "as is" and "as available" basis without any warranty of any kind, express or implied. To the fullest extent permitted by applicable law, ShotWot expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, satisfactory quality, and fitness for a particular purpose

• Any warranty that the App will be uninterrupted, error-free, secure, or free from viruses or other harmful components

• Any warranty as to the accuracy, completeness, or reliability of any content or information available through the App

You assume full responsibility for all risks associated with your use of the App and any content you access through it.

19. Limitation of Liability

To the maximum extent permitted by applicable law, ShotWot Labs Private Limited, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages of any kind, including but not limited to loss of profits, loss of data, loss of Wallet balance, loss of goodwill, or loss of use, arising out of or in connection with:

• Your access to or use of or inability to access or use the App

• Any conduct or content of any third party on or through the App

• Any content obtained from or submitted to the App

• Unauthorised access to or alteration of your account, transmissions, or content

In no event shall ShotWot's total aggregate liability to you for all claims arising out of or relating to this Agreement or the App exceed the greater of:

• The total amount you have paid to ShotWot in the twelve (12) months preceding the event giving rise to the claim, or

• INR 1,000

Certain jurisdictions do not allow the exclusion or limitation of certain categories of damages. Some of the above limitations may not apply to you to the extent prohibited by applicable law.

20. Termination

20.1 Termination by ShotWot

ShotWot may suspend or permanently terminate your access to the App immediately and without prior notice for any reason, including but not limited to:

• Breach of any provision of this Agreement

• Submission of fraudulent, infringing, or harmful content

• Engaging in prohibited or abusive behaviour

• Failure to complete KYC verification within the required timeframe

• Court order or regulatory direction

20.2 Effect of Termination

Upon termination of your account:

• Your right to use the App ceases immediately

• Any pending Rewards or Wallet balance may be forfeited if termination was due to a breach of this Agreement

• All provisions of this Agreement that by their nature should survive termination will continue to apply, including ownership provisions, content licences granted to ShotWot, warranty disclaimers, indemnification obligations, and limitations of liability

20.3 Termination by You

You may close your account at any time by contacting us at hello@shotwot.com. Closing your account does not entitle you to a refund of any purchases or pending Wallet balances unless otherwise required by applicable law.

21. Governing Law and Dispute Resolution

21.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

21.2 Arbitration

Any dispute, controversy, or claim arising out of or in connection with this Agreement, including questions regarding its existence, validity, breach, or termination (excluding copyright infringement claims), shall be submitted to binding arbitration in Pune, Maharashtra, India, conducted in English, in accordance with the Arbitration and Conciliation Act, 1996, as amended. The decision of the arbitrator shall be final and binding on both parties.

Mumbai Centre for International Arbitration (MCIA)

21.3 No Class Actions

All disputes will be resolved on an individual basis only. You and ShotWot both waive the right to participate in any class action, collective action, representative action, or private attorney-general action in connection with any dispute arising under this Agreement.

21.4 Jurisdiction for Copyright Claims

Copyright infringement claims shall be brought before the courts of competent jurisdiction in Pune, Maharashtra, India.

22. Notice to Indian Residents (Consumer Rights)

Under applicable Indian consumer protection law, the following information is provided:

To file a complaint or request further information about the App or its services, you may write to the above address or contact us by email.

23. Changes to This Agreement

ShotWot reserves the right to modify or update this Agreement at any time. When material changes are made, we will:

• Update the "Last Updated" date at the top of this page

• Notify registered users via email and a prominent in-app notification on the App at least 30 days before the changes take effect

Your continued use of the App after the effective date of the updated Agreement constitutes your acceptance of the revised terms. If you do not agree to the updated Agreement, you must stop using the App and may close your account by contacting hello@shotwot.com.

24. Miscellaneous

Severability: If any provision of this Agreement is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary or severed, and all remaining provisions will continue in full force and effect.

No Waiver: ShotWot's failure to enforce any right or provision of this Agreement will not be considered a waiver of that right or provision.

No Assignment: You may not assign or transfer your rights or obligations under this Agreement to any third party without ShotWot's prior written consent. ShotWot may assign this Agreement in connection with a merger, acquisition, or sale of its business.

Entire Agreement: This Agreement, together with the ShotWot Privacy Policy and Terms of Service, constitutes the entire agreement between you and ShotWot with respect to your use of the App and supersedes all prior agreements and understandings between the parties.

Language: This Agreement is written in English. In the event of any conflict between the English version and any translated version, the English version shall prevail.
