1. Agreement to Terms

This is a legal agreement between you ("User," "Licensee," "Contributor," or "Buyer") and ShotWot Labs Private Limited ("ShotWot," "Company," "we," "us," or "our"), a company registered at Godrej 24, Hinjewadi Phase 1, Pune – 411037, Maharashtra, India.

By accessing our website at www.shotwot.com ("Site") or using the ShotWot mobile application available on Android and iOS ("App"), or by downloading, purchasing, or uploading any content through the platform, you confirm that:

  • You are at least 18 years of age

  • You have the legal capacity and authority to enter into this agreement

  • You have read, understood, and agree to be bound by these Terms of Service in their entirety

If you are accessing or using the platform on behalf of a company or other legal entity, you further represent that you are authorised to bind that entity to these terms, and that the entity agrees to be responsible for all usage and any violations under this agreement.

If you do not agree to any part of these Terms of Service, you must immediately stop using the Site and the App.

This Terms of Service agreement is in addition to any separate Contributor Agreement, Licensing Agreement, or Service Agreement you may enter into with the Company.

2. Definitions

Any registered user who uploads, submits, or licenses Content through the Platform

Buyer

Any registered user who browses, licenses, or downloads Content through the Platform

Licence

The limited, non-exclusive right granted to a Buyer to use Content as specified in the applicable licence terms

User Content

Any content, information, or material submitted or uploaded by a user to the Platform

ProShooter

ShotWot's paid subscription plan for Contributors offering enhanced features and benefits

3. Ownership of the Platform

The Platform, including the Site and the App, is owned and operated by ShotWot Labs Private Limited. All elements of the Platform, including but not limited to text, photographs, moving images, graphics, illustrations, audio, software, data compilations, the selection and arrangement of those elements, the user interface, and the overall design ("Platform Content"), are owned by the Company or its licensors.

All Platform Content is protected by copyright, trademark, trade dress, moral rights, and other applicable Indian and international intellectual property laws and treaties.

Nothing in these Terms transfers any ownership rights in the Platform or Platform Content to you.

4. Trademarks

The name "ShotWot," the ShotWot logo, and all related names, logos, product names, service names, designs, and slogans are trademarks of ShotWot Labs Private Limited and may not be used without the Company's prior written consent.

The look, feel, and design of the Platform, including all interface elements, constitute the trade dress of the Company and may not be copied, imitated, or used, in whole or in part, without our prior written permission.

All other trademarks, registered trademarks, product names, and company names or logos mentioned on the Platform are the property of their respective owners. Any reference to third-party products, services, or entities does not imply endorsement, sponsorship, or recommendation by ShotWot.

5. Eligibility and Account Registration

5.1 Age Requirement

You must be at least 18 years of age to register for and use the Platform. By creating an account, you confirm that you meet this requirement. ShotWot reserves the right to terminate any account found to belong to a user under 18 years of age.

5.2 Account Creation

To access certain features of the Platform, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information

  • Maintain and promptly update your account information

  • Keep your login credentials confidential and secure

  • Not share your account, username, or password with any third party

  • Notify us immediately at hello@shotwot.com if you become aware of any unauthorised access to or use of your account

5.3 Account Responsibility

You are solely responsible for all activity that occurs on your account. ShotWot will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials or from unauthorised use of your account. ShotWot reserves the right to suspend or terminate any account that is shared, misused, or accessed by unauthorised parties.

6. Contributor Terms

6.1 Eligibility to Contribute

To submit content as a Contributor, you must complete the registration and KYC (Know Your Customer) process, including submission of a valid government-issued identity document, tax information (PAN, GST, or equivalent), and valid payout details (bank account or UPI ID).

6.2 Content Submission and Ownership

By uploading Content to the Platform, you represent and warrant that:

  • You are the original creator and sole owner of the Content, or you have all necessary rights, licences, consents, and permissions to submit and licence it

  • The Content does not infringe the intellectual property rights, privacy rights, moral rights, or any other rights of any third party

  • You have obtained valid model releases from all identifiable individuals depicted in the Content, and valid property releases for all recognisable private property depicted where required

  • The Content does not contain any illegal, defamatory, obscene, or otherwise objectionable material

  • The Content complies with all applicable laws and regulations

6.3 Licence Grant to ShotWot

By uploading Content to the Platform, you grant ShotWot Labs Private Limited a non-exclusive, worldwide, royalty-free licence to host, store, display, reproduce, distribute, and use the Content solely for the purposes of operating the Platform, including making your Content available for licensing to Buyers, displaying it in search results, and using it in promotional materials for the Platform with your attribution.

This licence does not transfer ownership of the Content to ShotWot. You retain full ownership and copyright in your Content.

6.4 Content Standards and Moderation

ShotWot reserves the right to review, approve, reject, remove, or delist any Content at its sole discretion, including but not limited to Content that:

  • Violates these Terms of Service or our Content Guidelines

  • Infringes any third-party intellectual property rights

  • Contains objectionable, harmful, or illegal material

  • Fails to meet our quality or technical standards

6.5 Payouts

Earnings from Content licensing will be credited to your ShotWot contributor account according to the payout schedule published on the Platform. ShotWot reserves the right to withhold payouts pending identity verification, tax compliance, or investigation of suspected fraud or policy violations. Payout terms are subject to the Contributor Agreement entered into during registration.

7. Buyer Terms and Licences

7.1 Licence to Use Content

Upon purchasing or downloading Content from the Platform, you are granted a limited, non-exclusive, non-transferable licence to use the Content as specified in the applicable licence type selected at the time of purchase (Standard Licence or Extended Licence). This licence does not grant you ownership of the Content.

7.2 Permitted Uses

Your licence to use Content is subject to the specific terms of the licence type you purchased. General permitted uses include:

  • Use in personal, editorial, or commercial projects as specified by the applicable licence

  • Reproduction in digital and print formats within the scope of the licence

  • Modification and adaptation of Content as permitted under the applicable licence terms

7.3 Prohibited Uses for Buyers

You may not, under any licence type:

  • Resell, sublicense, redistribute, or make Content available as a standalone file for download or re-licensing

  • Use Content in a defamatory, pornographic, unlawful, or harmful manner

  • Use Content to imply false endorsement by any individual depicted

  • Register Content or any derivative works as your own trademark or design right

  • Remove, alter, or obscure any metadata, watermark, or copyright notice associated with Content

7.4 Rights and Releases

ShotWot does not guarantee that any Content is cleared for all uses. It is your responsibility as the Buyer to:

  • Assess whether additional model releases, property releases, or third-party permissions are required for your intended use

  • Obtain any additional clearances needed for commercial, sensitive, or high-risk uses

  • Satisfy yourself that all rights required for your specific intended purpose have been secured

ShotWot identified captions and metadata to the best of its ability but cannot be held responsible for erroneous or incomplete caption or metadata information.

8. Permitted Use of the Platform

The Platform and its Content are intended for lawful use in connection with legitimate business or personal creative purposes. In using the Platform, you agree to comply with all applicable laws and regulations, including those relating to the internet, data privacy, intellectual property, and the export of technical data from India or your country of residence.

9. Prohibited Uses of the Platform

The following activities are strictly prohibited on the ShotWot Platform:

  • Removing, altering, or modifying any copyright notices, watermarks, or metadata associated with any Content

  • Downloading, copying, or redistributing any Content without a valid licence or in violation of an existing licence agreement

  • Using any data mining tools, bots, scrapers, crawlers, or similar automated technologies to extract data from the Platform or monitor Site visitors or users

  • Framing, mirroring, or otherwise displaying the Platform or its Content using navigational technology without our permission

  • Circumventing, disabling, or bypassing any access controls, security features, or usage restrictions on the Platform

  • Registering for products or services you are not authorised to access

  • Sharing, selling, transferring, or disclosing your account credentials or password to any third party

  • Interfering with the operation or security of the Platform in any manner, whether through technical means or otherwise

  • Uploading or transmitting any viruses, malware, or other harmful code to the Platform

  • Using the Platform to harass, abuse, threaten, or harm any other user

  • Uploading Content that is illegal, defamatory, obscene, or that violates the rights of any third party

  • Impersonating any person or entity or falsely representing your identity or affiliation

  • Using the Platform for any purpose that violates applicable Indian or international law

10. Objectionable Content and Abusive Behaviour

ShotWot has a zero-tolerance policy for objectionable content and abusive behaviour on the Platform. This applies to both the website and the mobile application. We reserve the right to remove any content and immediately suspend or permanently terminate the account of any user who:

  • Uploads, shares, or promotes objectionable, harmful, illegal, or offensive content

  • Engages in abusive, threatening, or harassing behaviour toward other users, contributors, or ShotWot personnel

  • Attempts to manipulate the Platform, its rating systems, or its content moderation processes

Users may report objectionable content or abusive behaviour by contacting us at hello@shotwot.com. We will review and act on all reports within a reasonable timeframe.

11. Briefs Tab Content Disclaimer

The content published under the Briefs tab on the ShotWot mobile application is provided solely for reference and informational purposes to assist Contributors in understanding creative direction. ShotWot does not hold any copyright over the images or illustrations used as reference examples in the Briefs section. If you have any complaints or concerns regarding any content published under the Briefs tab, please contact our grievance team at hello@shotwot.com.

12. Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms of Service by reference. By agreeing to these Terms of Service, you also agree to the terms of our Privacy Policy. Please review our full Privacy Policy at www.shotwot.com/privacy.

13. Third-Party Links and Services

The Platform may contain links to third-party websites, social media platforms, or integrated third-party services ("Third-Party Services"). These Third-Party Services are operated, controlled, and maintained by independent third parties and are governed by their own terms of use and privacy policies.

ShotWot has no control over Third-Party Services and accepts no liability arising from your use of any Third-Party Service or any content contained therein. All links to Third-Party Services are provided for convenience only and do not constitute an endorsement by ShotWot.

14. Fees, Subscriptions, and Changes

14.1 Subscription Fees

ShotWot reserves the right to change subscription fees for the ProShooter plan or any other paid offering at any time. Any changes to fees will be communicated to affected users through the Platform, via in-app notification, or via email with reasonable advance notice before the change takes effect.

14.2 Usage and Feature Changes

ShotWot also reserves the right to modify, update, add to, or remove features and usage policies of the Platform at any time. Continued use of the Platform following notification of such changes constitutes acceptance of the updated terms.

15. Refund Policy

Content Purchases:
All purchases of media assets through the ShotWot Shop are final and non-refundable, except as required by applicable law.

ProShooter Subscription:
If a ProShooter subscription was activated unintentionally, you may request a refund by contacting us at hello@shotwot.com within 48 hours of the deduction from your bank account. ShotWot is committed to processing approved refunds within 45 days of the refund request being raised. Refund requests submitted after 48 hours will not be eligible for consideration.

16. Unauthorised Use and Copyright Infringement Fee

Any use of Content in a manner not expressly authorised by these Terms, the applicable Licence, or a separate written agreement with ShotWot constitutes copyright infringement. ShotWot reserves the right to exercise all remedies available under Indian and international copyright law.

In addition to any other remedies available, and without prejudice to any legal action ShotWot may take, you agree that ShotWot reserves the right to charge, and you agree to pay, an unauthorised use fee equal to five (5) times the standard licence fee applicable to the Content used without authorisation. You will also be responsible for all damages, including third-party claims, arising from any such unauthorised use.

17. Indemnification

You agree to indemnify, defend, and hold harmless ShotWot Labs Private Limited, its directors, officers, employees, agents, licensors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use or misuse of the Platform or any Content

  • Any Content you upload, submit, or transmit through the Platform

  • Your breach of any provision of these Terms of Service

  • Your violation of any applicable law or regulation

  • Your violation of the rights of any third party, including intellectual property rights, privacy rights, or contractual rights

  • Any unauthorised use of another user's account facilitated by you

18. General Disclaimers

The Platform, the App, and all Content are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, ShotWot expressly disclaims all warranties of any kind, whether express or implied, including but not limited to:

  • Implied warranties of merchantability, satisfactory quality, or fitness for a particular purpose

  • Any warranty that the Platform will be uninterrupted, error-free, virus-free, or free of other harmful components

  • Any warranty regarding the accuracy, completeness, or reliability of any Content or information on the Platform

You assume the entire cost of all necessary servicing, repair, or correction resulting from your use of the Platform. ShotWot makes no warranty that Content is cleared for all intended uses, and you are solely responsible for obtaining any additional rights, releases, or clearances required for your specific use.

Certain jurisdictions do not permit the exclusion of implied warranties, so some of the above exclusions may not apply to you to the extent prohibited by applicable law.

19. Limitation of Liability

To the maximum extent permitted by applicable law, ShotWot Labs Private Limited, its directors, officers, members, employees, and agents shall not be liable for any direct, indirect, special, incidental, punitive, or consequential damages of any kind, including but not limited to loss of profits, loss of data, loss of goodwill, or loss of use, whether in an action in contract, tort (including negligence), or otherwise, arising out of or in any way connected with:

  • Your use of or inability to use the Platform or any Content

  • Any errors, omissions, interruptions, or delays in Platform operation

  • Unauthorised access to or alteration of your account or transmissions

  • Any conduct or content of any third party on the Platform

  • Any other matter relating to the Platform or these Terms

In no event shall ShotWot's total aggregate liability to you, whether in contract, warranty, tort, or any other theory, exceed the total fees you have paid to ShotWot in the twelve (12) months preceding the event giving rise to the claim, or INR 1,000 (whichever is greater).

Certain jurisdictions do not permit certain limitations of liability, so some of the above limitations may not apply to you to the extent prohibited by applicable law.

20. DMCA and Copyright Infringement Notices

ShotWot respects the intellectual property rights of all creators and complies with the Indian Copyright Act, 1957, and applicable international copyright law. In appropriate circumstances, ShotWot will terminate the accounts of users who repeatedly infringe the intellectual property rights of others.

If you believe that any Content on the Platform infringes your copyright, you may submit a written infringement notice to our designated Copyright Agent with the following information:

  • Your full name, address, telephone number, and email address

  • A description of the copyrighted work you claim has been infringed

  • The exact URL, ShotWot content reference number, or a clear description of where the infringing material is located on the Platform

  • A statement that you have a good faith belief that the use of the material is not authorised by you, the copyright owner, or applicable law

  • A statement made under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or are authorised to act on the copyright owner's behalf

  • Your electronic or physical signature

21. Governing Law and Dispute Resolution

21.1 Governing Law

These Terms of Service are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

21.2 Arbitration

Any dispute, controversy, or claim arising out of or in connection with these Terms of Service, including questions regarding its validity, interpretation, breach, or termination (excluding copyright infringement claims), shall be referred to and finally resolved by arbitration conducted in Pune, Maharashtra, India, pursuant to the Arbitration and Conciliation Act, 1996, as amended. The arbitration proceedings shall be conducted in English. The decision of the arbitrator shall be final and binding on all parties.

21.3 Copyright Claims

Claims of copyright infringement shall be brought before the appropriate court of competent jurisdiction in Pune, Maharashtra, India.

21.4 Jurisdiction

If you are an agent or employee of a non-Indian entity but operate within India or its territories, you expressly agree that any dispute arising under these Terms will be adjudicated within India as described above. You consent to the personal jurisdiction of the courts of Pune, Maharashtra, India for any matters not subject to arbitration.

21.5 No Class Actions

You and ShotWot agree that all proceedings to resolve any dispute, whether through arbitration, in court, or otherwise, will be conducted solely on an individual basis. Neither you nor ShotWot will seek to have any dispute heard as a class action, collective action, representative action, or private attorney-general action, or in any proceeding where either party acts in a representative capacity. No arbitration or proceeding will be joined, consolidated, or combined with another without the prior written consent of all parties involved.

22. Notice to Indian Residents (Consumer Rights)

Under applicable Indian consumer protection law, users are entitled to the following information:

To file a complaint regarding the Platform or to receive further information regarding the use of our services, you may write to the above address or email us directly.

23. Miscellaneous

No Assignment: These Terms of Service are personal to you and may not be assigned or transferred to any third party without the prior written consent of ShotWot. ShotWot may assign these Terms in connection with a merger, acquisition, or sale of its business.

No Waiver: No failure or delay by ShotWot in exercising any right or remedy under these Terms constitutes a waiver of that right or remedy. A waiver of any right on one occasion does not constitute a waiver of the same right on any other occasion.

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. All remaining provisions will continue in full force and effect.

Entire Agreement: These Terms of Service, together with the Privacy Policy, any applicable Contributor Agreement, and any applicable Licence Agreement, constitute the entire agreement between you and ShotWot with respect to your use of the Platform. They supersede all prior agreements, representations, and understandings between the parties relating to the same subject matter. No term or condition may be added or modified except in writing signed by both parties. In the event of any inconsistency between these Terms and any purchase order or other document submitted by you, these Terms shall govern.

Force Majeure: ShotWot will not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, government action, internet or telecommunications failures, or power outages.

Language: These Terms of Service are written in English. Any translation is provided for convenience only. In the event of any conflict between the English version and a translated version, the English version shall prevail.

24. Changes to These Terms

ShotWot reserves the right to update or modify these Terms of Service at any time. When material changes are made, we will:

  • Update the "Last Updated" date at the top of this page

  • Notify registered users via email and a prominent in-app notification on the ShotWot mobile application

Your continued use of the Platform following the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform and may close your account by contacting us at hello@shotwot.com.
